1. About Us & These Terms

LisBom Limited ("LisBom", "we", "us", "our") is a company registered in England & Wales. We operate the website at www.lisbom-ltd.com and provide remote staffing and talent placement services.

These Terms & Conditions ("Terms") govern your use of our website and your engagement of our services. By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

LisBom connects businesses with skilled professionals based primarily in the Philippines. Our Services include:

3. Engaging Our Services — Client Terms

3.1 Agreement to Services

A binding agreement between LisBom and a Client is formed when both parties have confirmed the scope of Services and the applicable fees in writing (including by email or via a signed service agreement). LisBom reserves the right to decline any engagement at its sole discretion.

3.2 Accuracy of Information

Clients must provide accurate and complete information about the role requirements, working environment, and any other information reasonably requested by LisBom. Inaccurate information may affect the quality of the match and is not grounds for invoking the replacement guarantee.

3.3 Candidate Interviews

LisBom will present shortlisted, interview-ready Candidates. Clients agree to conduct interviews in good faith and within a reasonable timeframe. Delays caused by a Client's failure to engage promptly may affect the target placement timeline.

4. Fees & Payment

4.1 Monthly Fee Structure

Our Services are charged on a fixed monthly subscription basis. Each monthly invoice will clearly itemise:

There are no hidden fees. Any changes to the fee structure will be communicated to the Client in writing with at least 30 days' notice.

4.2 Payment Terms

Invoices are issued monthly in advance. Payment is due within 14 days of the invoice date unless otherwise agreed in writing. LisBom reserves the right to charge interest on overdue amounts at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4.3 Placement Fee

A one-time placement or setup fee may apply, as agreed in writing prior to commencement of the sourcing process. This fee is non-refundable once the sourcing process has begun.

4.4 Changes to Fees

LisBom may review its monthly management fee annually, with any increase communicated to the Client in writing no less than 30 days before it takes effect. The Placed Talent's compensation element may be adjusted to reflect cost-of-living changes, with 30 days' written notice.

5. Cancellation & Termination

5.1 Cancellation by Client

Clients may cancel the ongoing monthly managed service by providing 30 days' written notice to LisBom. There is no minimum contract term and no early termination penalty, unless otherwise agreed in writing. Any fees accrued or invoiced during the notice period remain payable.

Either party may terminate the Services immediately by written notice if the other party:

Upon termination, all outstanding fees become immediately payable. LisBom will provide reasonable assistance to transition Placed Talent or wind down the engagement, at no additional cost, during the notice period.

Our "cancel anytime, no lock-in" commitment means no minimum contract period and no early-exit penalties, provided 30 days' notice is given.

6. Guarantees & Replacements

6.1 Placement Timeline

LisBom will present qualified, interview-ready Candidates within 30 calendar days of the agreed commencement of the sourcing process. If we fail to do so through no fault of the Client, your first month's management fee will be waived.

This guarantee does not apply where delays are caused by: the Client's failure to respond to correspondence or interview requests; changes to the role specification after sourcing has begun; or circumstances outside LisBom's reasonable control.

6.2 90-Day Replacement Promise

If a Placed Team Member does not work out within the first 90 days of their start date, LisBom will source and onboard a replacement at no additional placement cost.

This promise applies where the placement proves unsuitable despite reasonable onboarding efforts, and does not apply where:

9. Intellectual Property

All intellectual property created by Placed Talent in the course of performing work for a Client will, unless otherwise agreed in writing, belong to the Client. LisBom will include appropriate IP assignment provisions in its agreements with Placed Talent.

All content on the LisBom website — including text, design, and branding — is owned by or licensed to LisBom Limited and may not be reproduced without our prior written consent.

10. Confidentiality

Each party agrees to keep confidential any information disclosed by the other party that is marked as confidential or that a reasonable person would understand to be confidential ("Confidential Information"), including but not limited to business plans, pricing, candidate profiles, and client details.

These obligations survive termination of the Services for a period of three years.

11. Data Protection

Each party agrees to comply with applicable data protection law, including the UK GDPR and the Data Protection Act 2018. LisBom's collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

Where LisBom processes personal data on behalf of a Client (for example, where Placed Talent handle Client data), the parties will enter into a separate data processing agreement if required by applicable law.

Clients are responsible for ensuring that any personal data they share with LisBom is provided lawfully and with any necessary consents or legal bases in place.

12. Limitation of Liability

12.1 Exclusions

Nothing in these Terms limits or excludes liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited or excluded by law.

12.2 Limitation

Subject to clause 12.1, LisBom's total aggregate liability to a Client in respect of all claims arising out of or in connection with these Terms or the Services shall not exceed the total fees paid by the Client to LisBom in the three months preceding the event giving rise to the claim.

12.3 Consequential Loss

LisBom shall not be liable for any indirect, special, or consequential loss, including loss of profit, revenue, or business, even if advised of the possibility of such loss.

12.4 Website

LisBom makes no warranty that this website will be uninterrupted or error-free. We are not responsible for any loss arising from reliance on information on this website, which is provided for general information only and does not constitute professional, legal, or financial advice.

The limitations above reflect a reasonable and commercial allocation of risk. Clients are encouraged to review their own insurance arrangements.

13. Prohibited Use & Anti-Poaching

13.1 Prohibited Use of the Website

You must not use this website to: post or transmit unlawful, defamatory, or harmful content; attempt to gain unauthorised access to any part of our systems; scrape or harvest data from our site; or impersonate any person or entity.

13.2 Non-Solicitation of Talent

During the term of the Services and for a period of 12 months after termination, Clients must not directly or indirectly solicit, engage, or employ any Placed Talent introduced by LisBom without LisBom's prior written consent. If a Client wishes to directly employ a Placed Talent, a transfer fee equal to three months' management fee will apply, unless otherwise agreed in writing.

13.3 Non-Solicitation of Candidates

Clients must not contact or attempt to engage Candidates presented by LisBom (including those who were not ultimately placed) for a period of 12 months following the introduction, except through LisBom.

14. Governing Law & Disputes

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales.

The parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute, except that either party may seek injunctive or other emergency relief in any court of competent jurisdiction.

Before commencing any formal proceedings, the parties agree to attempt to resolve any dispute in good faith through direct discussion for a period of at least 30 days.

15. Changes to These Terms

LisBom may update these Terms from time to time. We will notify existing Clients of any material changes by email with at least 14 days' notice before the changes take effect. Continued use of our Services following notice of changes constitutes acceptance of the updated Terms.
